Terms and conditions of service
1. Introduction
a. These Terms & Conditions ("Terms") govern the provision of services from FreshData Consultants ("We", "Our") to you ("Client" or "You"). By engaging with us, you agree to be bound by these Terms.
2. Services
a. We provide data migration, data transformation, and data enhancement services ("Services"). The specific details of these services will be outlined in individual project agreements or service orders.
3. Obligations of the Client
a. You are responsible for providing clear, accurate, and comprehensive information and instructions regarding the services you require.
b. You must ensure that any data or materials provided to us do not infringe on third-party rights or violate any laws.
4. Payment and Fees
a. Charges for our services will be as agreed upon in writing. Invoices are to be paid within 14 days of receipt. Late payments may incur additional charges.
5. Data Backup
a. While we will handle your data with care, you are responsible for maintaining backups of your original data before sharing it with us. We are not liable for any data loss.
6. Project Timeline
a. Timelines for project completion will be agreed upon in writing. Delays due to circumstances beyond our control or due to late or altered client instructions might lead to adjustments in the timeline.
7. Revisions & Additional Work
a. Any revisions or additional work not specified in the original project agreement may incur additional fees.
8. Limitation of Liability
a. We endeavour to provide our services with the utmost care and precision. However, we cannot be held responsible for outcomes based on incomplete, unclear, or erroneous information provided by you.
b. Our liability, in the event of any claim, is limited to the value of the service provided. We shall not be liable for any indirect or consequential losses.
9. Indemnification
a. The client agrees to indemnify and hold harmless FreshData Consultants against any claims, losses, liabilities, or expenses incurred due to client-provided content or data or any breach of these Terms by the client.
10. Intellectual Property
a. All methodologies, processes, technologies, or tools used by FreshData Consultants remain our intellectual property. The client is purchasing the end result of the service, not the methods used to produce it.
11. Warranties
a. We warrant that our services will be provided in a professional manner in accordance with industry standards. We do not, however, guarantee that our services will be error-free or uninterrupted.
12. Force Majeure
a. Neither party will be responsible for failure in performance due to causes beyond its reasonable control, such as natural disasters, terrorist events, or other externalities.
13. Termination
a. Either party may terminate the project agreement with written notice if the other party breaches any of these Terms and fails to rectify said breach within 30 days.
b. If a project is cancelled by the client before its completion, the client may be liable for a termination fee, reflecting the work already done and any commitments made on our part.
14. Communication
a. Both parties commit to timely and clear communication to ensure the smooth execution of services.
15. Non-Solicitation
a. During the term of the agreement, and for a period of one year thereafter, the client agrees not to hire, solicit, or induce any employee or contractor of FreshData Consultants.
16. Third Party Vendors
a. In cases where we use third-party vendors or subcontractors to provide or supplement the services, we will ensure they adhere to the standards outlined in this agreement but cannot be held liable for their individual actions or lapses.
17. Confidentiality
a. We treat all client data as confidential and will not share, distribute, or sell this data without your explicit consent, except where required by law.
18. Data Protection
a. We comply with UK data protection laws. Any personal data provided will be managed in accordance with these laws and our Privacy Policy.
19. Disputes
a. We aim to resolve all disputes amicably. If a dispute arises, both parties commit to seeking resolution through negotiation or mediation before resorting to litigation.
20. Changes to These Terms
a. We reserve the right to update or modify these Terms at any time, with prior notice to you.
21. Governing Law
a. These Terms are governed by the laws of the United Kingdom. Any disputes shall be resolved in UK courts.
